These Terms of Service (the "Terms") are an agreement between you and Quant24 Inc., a Delaware corporation ("Quant24", "we", "us"). They govern your use of the website at quant24.io (the "Site"), the web application at beta.quant24.io (the "App") and every related feature, waiting list, program and communication (together, the "Service").

Please read them. They limit our liability, describe risks that can cost you money, and explain that the Service is software, not advice. If you do not agree, do not use the Service.

Who we are and what these Terms cover

Quant24 builds software for people who trade U.S. equity-index futures. The Service lets you describe a trading goal in plain language, have that goal turned into a strategy, have the strategy validated by a testing engine, review the evidence, and, when broker connections become available, run an approved strategy through a brokerage account that you open and control at your own futures commission merchant or proprietary-trading firm.

These Terms cover the Site, the App, the waiting list, the Founder Program and the Creator Program (each of which also has its own written agreement), our emails, and any feature we add later. The Privacy Policy explains how we handle personal data and forms part of these Terms, and so do the Cookie Policy, the Risk Disclosure and the CFTC Rule 4.41 notice.

The English version of these Terms governs. Translations, where we provide them, are for convenience only.

Acceptance and changes

You accept these Terms when you join the waiting list, create an account, apply to a program, or otherwise use the Service. If you use the Service on behalf of a company, you represent that you are authorized to bind it, and "you" includes that company.

We version these Terms (major.minor.patch). A change that affects your rights or your risk is a new major version; we will notify account holders by email at least 14 days before it takes effect, unless the change is required by law or addresses an urgent security issue. Smaller changes take effect when posted, with the date at the top of this page. Using the Service after a change means you accept it; if you do not, stop using the Service and close your account.

While this document is marked DRAFT, it has not yet been reviewed by our counsel and may change before general availability. We publish it anyway, because we would rather you read a draft than nothing.

What the Service is, and what it is not

The App is made of two software agents and a validation engine:

  • The Strategist interprets the goal you write, asks at most one round of clarifying questions, states the assumptions it makes, and proposes candidate strategies with a declared economic rationale.
  • The validation engine runs the candidates through code: walk-forward testing, a sealed holdout period, Monte Carlo resampling, stress scenarios and a Bayesian estimate of the probability that your goal is met. The engine, not a language model, produces every number you see.
  • The Executor is designed to run an approved strategy through your own brokerage account under fixed risk limits: position sizing, exposure caps and a drawdown cascade that reduces or halts trading. During pre-launch the Executor only replays simulations; it does not connect to any market or broker.

Every strategy the App produces comes with an Evidence Ledger that records what was tested, what was rejected and why, and whether each metric comes from simulation or from real trading. The two are labeled differently and are never mixed.

The Service is not:

  • a broker, a futures commission merchant, an exchange or a custodian: we never hold, receive or transmit your money or your positions;
  • an investment adviser or a commodity trading advisor: the App does not know your full financial situation and its outputs are not personalized recommendations (see "Not investment advice");
  • a promise of results: the App is a tool for testing ideas with discipline, and most trading ideas fail its tests.

Pre-launch status: simulations, synthetic data and hypothetical results

As of the date at the top of this page the Service is in pre-launch. This means:

  • No broker is connected. The App cannot place orders anywhere. Screens that describe broker connections are previews of a feature that does not yet exist and are labeled as such.
  • No real-money trading is being executed for anyone, by anything we operate.
  • Market data is synthetic. Price series used by the App are generated by a statistical model and labeled SYNTHETIC. They are not data from CME Group or any other exchange, and they are not a record of any market.
  • Every result is hypothetical. Backtests, holdout results, probabilities and equity curves are the output of simulations over synthetic data. They are labeled SYNTHETIC wherever they appear.

When any of this changes we will update this document, bump its version and tell account holders by email. Until then, anything in the Service that looks like performance is an illustration of how the tooling works, not evidence that a strategy makes money.

CFTC Rule 4.41(b)(1)(i) — Hypothetical performance disclosure

These results are based on simulated or hypothetical performance results that have certain inherent limitations. Unlike the results shown in an actual performance record, these results do not represent actual trading. Also, because these trades have not actually been executed, these results may have under-or over-compensated for the impact, if any, of certain market factors, such as lack of liquidity. Simulated or hypothetical trading programs in general are also subject to the fact that they are designed with the benefit of hindsight. No representation is being made that any account will or is likely to achieve profits or losses similar to these being shown.

That notice is the statement prescribed by U.S. Commodity Futures Trading Commission Rule 4.41(b)(1)(i) for simulated or hypothetical performance. It applies to every simulated result in the Service, including results produced from strategies you bring yourself; what the rule requires and where we apply it has its own page.

Eligibility

To use the Service you must:

  • be at least 18 years old, or older if the law where you live sets a higher age of majority;
  • have the legal capacity to enter into a binding contract;
  • not be located in, or a resident of, a country or region subject to comprehensive U.S. sanctions, and not be listed on any U.S. government sanctions or restricted-party list;
  • not be prohibited from using the Service by the laws of your jurisdiction or by an order of a court or regulator.

If you connect a brokerage account in the future, you must also be eligible to hold and operate that account under your broker's rules. Some proprietary-trading firms prohibit automated trading or trading from servers you do not control. Checking and complying with those rules is your responsibility, and we may decline to connect to a firm whose rules an automated service cannot honor.

The Service is operated from the United States and is intended for people who can lawfully use it there. We may restrict access from other countries.

Your account

You sign in to the App with a one-time link sent to your email address, or with a Google account. We do not store passwords. Anyone who can read your email can use your Quant24 account, so keep your email secure and tell us at once if you believe your account has been accessed without your permission.

One person, one account. You may not share, sell or transfer an account, and you are responsible for everything done through yours. Business and Enterprise plans provide named seats for each user.

You must give us accurate information and keep it current. We may suspend an account that appears to be shared, automated in ways these Terms do not allow, or created with false information.

Your brokerage account: bring your own account

Quant24 is designed so that your money never passes through us. You open, fund and maintain your futures account with a broker, futures commission merchant or proprietary-trading firm of your choice. That relationship, including commissions, margin, data entitlements and account rules, is between you and them.

Broker connections are not yet available. When they are, connecting will work through access credentials or tokens that your broker or its technology vendor issues for third-party software, which you can revoke at any time from your side. We will publish the specific mechanism, what we store and how we protect it before enabling the feature, and this document will be updated.

Risk

We will never ask for your brokerage password, your bank login, your card number in a form we control, your Social Security or tax identification number, or a copy of your identity document. If you ever receive a message claiming to be from Quant24 that asks for any of these, it is not from us: do not answer it, and forward it to b.caldera@quant24.io.

Because we do not hold your funds, we cannot move them, return them, freeze them or recover them. If something goes wrong with your account, your broker is the party that can act on it. Keep the ability to view and flatten your positions directly with your broker at all times.

Human approval, automation and risk controls

Nothing trades on your behalf without your explicit approval of a specific, versioned Strategy Package. Approval is given inside the App, for one package at a time, after you have been shown its Evidence Ledger. You may pause or stop any strategy at any time, and you should also know how to flatten positions directly with your broker in case the App is unreachable.

Once you approve a strategy, and once broker connections exist, orders are placed automatically according to its rules, without a further prompt for each order. That is the point of the Executor, and it is also why you must read the package before approving it.

The App applies automated risk controls to every approved strategy. In the current design these include:

  • position sizing as a fixed fraction of risk, adjusted for volatility;
  • caps on total exposure and on correlated positions;
  • a drawdown cascade that stops new entries for the day, halves position size for the week, or halts the strategy for the month after specified losses;
  • circuit breakers that flatten positions on abnormal price moves;
  • an automatic fallback that disables the strategic agent if it stops adding measurable value.

These controls are software. They reduce risk; they do not remove it. A stop order is an instruction to your broker, not a promise of a price: markets gap, liquidity disappears and orders slip. Software has bugs, networks fail, brokers and exchanges have outages, and an outage at the wrong moment can leave positions open. You accept these risks when you use automated execution, and you agree to monitor any strategy you run.

The initial amount of capital a strategy is allowed to use is proposed by the App from the evidence available and is deliberately conservative. You may lower it. The App will not raise a strategy to its full allocation on simulated evidence alone; that requires a track record from real trading.

Not investment advice; no registration

Quant24 Inc. is not registered as an investment adviser, commodity trading advisor, commodity pool operator, introducing broker, futures commission merchant or broker-dealer with the U.S. Securities and Exchange Commission, the Commodity Futures Trading Commission, the National Futures Association, FINRA or any state or foreign authority.

The Service is a general-purpose tool. Its outputs are generated by software from the inputs you provide and from generic market parameters. They do not take into account your complete financial situation, your other holdings, your tax position or your personal circumstances, and they are not a recommendation to buy, sell or hold any contract. Sessions with the Strategist are simulations for educational purposes.

You alone decide whether to trade, what to trade, how much to risk and whether to approve any strategy. If you need advice, consult a professional who is registered to give it in your jurisdiction and who knows your situation.

We may, in the future, register with a regulator or rely on an exemption if the law requires it for what the Service does. If that happens we will tell you, and these Terms will change to reflect it.

Risk disclosure for futures trading

Risk

Futures trading involves substantial risk of loss and is not suitable for everyone. Because futures are leveraged, a small price move against you can produce a large loss, and you can lose more than the money you deposited with your broker. Only trade with money you can afford to lose entirely.

In particular:

  • Industry statistics consistently show that most retail day traders lose money over time. The Service does not change that statistic; it tries to make sure that whatever capital you put at risk is proportionate to the evidence you have.
  • Past performance, whether real or simulated, is not a guarantee of future results. A strategy that passed every test can still lose money, because markets change and because tests are run on the past.
  • Simulated results have limitations that real trading does not share (see the Rule 4.41 notice above). Simulations do not experience slippage, outages, emotions or the need to meet a margin call.
  • Automated strategies can place many orders quickly. A defect in a strategy, in our software, at your broker or in market data can cause losses faster than a human could react.
  • Markets can move sharply on news, on economic releases and overnight. Stop orders can be filled far from their price or not at all.
  • Leverage, margin requirements and daily loss limits are set by your broker and by the exchange and can change without notice, including intraday.

Before you trade futures, read the risk disclosure statement your broker is required to give you, and make sure you understand how margin calls, liquidation and settlement work at that broker. Our own Risk Disclosure sets out the same risks in one place.

Artificial-intelligence outputs

The Strategist and the Executor use large language models to interpret your goal, to propose hypotheses and to write explanations, summaries and the narrative parts of the Evidence Ledger. Language models can be confidently wrong, can misread what you wrote, and can describe something as tested when it was not. To limit that risk the App is built so that every number, metric and probability is calculated by deterministic code, never by a model, and so that the ledger records which parts a model wrote.

You agree that:

  • model-written text is an aid to your reading of the evidence, not the evidence itself;
  • you will not treat any statement by the App as a fact about the market unless it is traced to data in the ledger;
  • you will not enter into the App personal data about other people, or information you are not allowed to share;
  • we may use third-party model providers to process your prompts, as described in the Privacy Policy, and we select those providers on the basis that their documented terms exclude training on your data.

Plans, fees and billing

The Sandbox tier is free and does not require a card. Paid plans (currently named Paper, Live, Live Pro, Business and Enterprise) add capacity such as more concurrent strategies, faster review cycles and, when broker connections exist, the ability to run strategies with real money. Plan contents and prices are published on the pricing page of the App.

During pre-launch no paid plan is sold. Prices shown are informational, may change before general availability, and any checkout you encounter in the App is a preview that does not charge you. We will announce when paid plans become available, and the pricing in force on the day you subscribe is the one that applies.

When paid plans are available:

  • Subscriptions are billed in advance, monthly or annually, through our payment processor. We do not see or store your full card number.
  • Subscriptions renew automatically at the end of each billing period until you cancel. You can cancel at any time from the billing portal; cancellation takes effect at the end of the current period, and you keep access until then.
  • Fees are non-refundable for partial periods, except where the law of your place of residence gives you a right to a refund or where we say otherwise in writing.
  • We may change prices. A price change applies to your next renewal, and we will email you at least 30 days before it takes effect.
  • Prices exclude taxes. Where we must collect sales tax, VAT or a similar tax, it is added to your invoice.
  • If a payment fails we will retry it and notify you; if it still fails, we may downgrade the account to the Sandbox tier.

Our fees are subscription fees. We do not charge fees calculated from your trading profits, and we do not share in your gains or losses.

Founder Program and Creator Program

We run two closed programs. Each is governed by a separate written agreement that you sign before participating, and that agreement prevails over these Terms where the two conflict.

Founder Program. A limited number of early users receive access to paid features free of charge for a fixed period in exchange for structured weekly feedback and for permission to use their trading record, anonymized and aggregated with others, as evidence about the Service. No individual record is published, and participation does not change the risk of trading or any obligation under these Terms.

Creator Program. A small number of content creators document their use of the Service. Creators are required to disclose their relationship with Quant24 in every piece of content, in the manner the U.S. Federal Trade Commission requires for endorsements. Creators may only show process, never profits, and may not present simulated results as real. Position sizes available to creators are limited by the Service, not by the creator.

If you see content about Quant24 from a creator that does not disclose the relationship, or that shows profits, please tell us.

Your content and your data

You keep whatever rights you have in the goals, prompts, strategies and other material you enter into the Service ("Your Content"). You give us a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce and display Your Content, and the Strategy Packages, ledgers and reports generated from it, for the purpose of operating, securing and improving the Service and complying with law. This license ends when you delete the content or close your account, except for copies we must keep under "Suspension and termination" or the Privacy Policy.

Strategy Packages and Evidence Ledgers generated for you are yours to use, export and delete. We may keep de-identified, aggregated statistics derived from usage of the Service (for example, how often strategies fail a given test) that cannot be linked back to you.

You are responsible for Your Content. Do not upload material you do not have the right to use, and do not upload other people's personal data.

Our intellectual property

The Service, including its software, validation engine, models, prompts, designs, documentation, trademarks and the name Quant24, belongs to us or to our licensors and is protected by intellectual-property law. These Terms give you a limited, revocable, non-exclusive, non-transferable right to use the Service for your own trading and research in accordance with these Terms. No other right is granted.

If you send us feedback or suggestions, you allow us to use them without restriction or compensation. We will not claim that a feature was your idea, and you will not claim that a feature was ours.

Acceptable use

You agree not to:

  • use the Service to give trading or investment advice to others for compensation, or to trade other people's money, unless you hold every registration that activity requires;
  • use the Service for market manipulation, spoofing, layering, wash trading or any other conduct prohibited by exchange rules or commodities law;
  • attempt to bypass, disable or tamper with the risk controls, approval steps, labels or logs of the Service;
  • reverse engineer, decompile, scrape or copy the Service or its validation engine, or use it to build a competing product;
  • access the Service by automated means, other than through interfaces we publish for that purpose, or overload it;
  • share accounts, resell access, or use the Service in breach of your broker's or proprietary-trading firm's rules;
  • upload malware, probe our systems for vulnerabilities without written permission, or interfere with other users;
  • use the Service where doing so is illegal, or in breach of sanctions or export controls.

If you find a security vulnerability, please report it to b.caldera@quant24.io and give us a reasonable time to fix it before disclosing it.

Third-party services

The Service depends on services we do not control: your broker and its technology vendors, market-data providers, our hosting and model providers, our payment processor and the sign-in provider you choose. Each has its own terms and privacy practices, and by using the Service through them you agree to those terms. We are not responsible for their availability, accuracy or conduct, and an outage or error on their side may make the Service unavailable or incorrect.

Mentions of third-party companies in the Service describe what we build on. They do not imply that those companies endorse Quant24.

Beta and pre-release features

The whole Service is pre-release today, and we may label individual features as beta, preview or experimental after launch. Such features may change, break or be withdrawn without notice, may be less reliable than the rest of the Service, and are provided without any service commitment. Feedback on them is welcome; reliance on them is at your own risk.

Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT ANY STRATEGY WILL BE PROFITABLE, THAT ANY SIMULATION REFLECTS WHAT WOULD HAVE HAPPENED OR WILL HAPPEN IN A MARKET, THAT ANY RISK CONTROL WILL PREVENT A LOSS, OR THAT THE SERVICE WILL BE AVAILABLE WHEN YOU NEED IT.

Some jurisdictions do not allow the exclusion of implied warranties; in those places the exclusions above apply to the extent permitted.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, QUANT24, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY TRADING LOSSES, LOST PROFITS, LOSS OF DATA, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND (B) ONE HUNDRED U.S. DOLLARS.

These limits apply together and reflect the fact that the Service is a tool you operate, that we never hold your funds, and that the price of the Service does not include insurance against trading outcomes. Some jurisdictions do not allow some of these limitations; in those places they apply to the extent permitted, and nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud.

Indemnification

You will defend, indemnify and hold harmless Quant24 and its officers, directors, employees and contractors from any claim, loss, liability, cost or expense (including reasonable legal fees) arising out of Your Content, your trading, your breach of these Terms or of any law, your breach of your broker's rules, or your use of the Service to provide services to others. We may take over the defense of any matter subject to indemnification, and you will cooperate with us.

Suspension and termination

You may close your account at any time from the App or by emailing us. Closing your account stops every strategy you were running through the Service; it does not close positions at your broker, which you must do yourself.

We may suspend or terminate your access, with notice where practicable, if you breach these Terms, if we are required to by law or by a regulator, if your use creates risk for us or for other users, or if we discontinue the Service. If we discontinue the Service or a paid feature, we will refund any prepaid fees for the unused period.

On termination your license to use the Service ends. We will delete or de-identify your personal data as described in the Privacy Policy, except that we may keep records of approvals, orders, risk events and the Evidence Ledgers of strategies that traded, for as long as law, regulation or the defense of legal claims requires. The sections on intellectual property, disclaimers, limitation of liability, indemnification, governing law and general terms survive termination.

Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules, and by applicable U.S. federal law.

If you have a dispute with us, write to b.caldera@quant24.io first. We will try to resolve it informally within 30 days. If we cannot, any claim must be brought in the state or federal courts located in Delaware, and you and we consent to their jurisdiction. Where the law of your place of residence gives you the right to bring a claim in your local courts as a consumer, nothing here takes that right away.

To the extent permitted by law, any claim must be brought within one year after it arises, and you may bring claims only on your own behalf, not as a plaintiff or class member in any class or representative proceeding.

Electronic communications and notices

You agree to receive communications from us electronically, including agreements, notices, risk disclosures and invoices, by email to the address on your account or by posting in the App, and that electronic communications satisfy any legal requirement that a communication be in writing. To receive them you need a device with internet access, a current browser and a working email address. You may withdraw this consent by closing your account.

Notices to us must be sent by email to b.caldera@quant24.io. Legal notices to Quant24 Inc. may also be sent to our registered agent in Delaware.

General terms

  • Entire agreement. These Terms, the Privacy Policy and any program agreement you sign are the entire agreement between you and us about the Service and replace any earlier agreement.
  • Severability. If a court finds any part of these Terms unenforceable, the rest remains in force and the unenforceable part is replaced by an enforceable term that comes closest to its intent.
  • No waiver. Our failure to enforce a term is not a waiver of it.
  • Assignment. You may not assign these Terms. We may assign them to an affiliate or to a successor in a merger, acquisition or sale of assets, and will notify you if we do.
  • Force majeure. Neither of us is liable for delay or failure caused by events beyond reasonable control, such as exchange or broker outages, internet failures, acts of government, or natural disasters.
  • Export and sanctions. You will comply with U.S. export-control and sanctions laws in using the Service.
  • Relationship. You and we are independent parties. Nothing here creates a joint venture, agency, employment or fiduciary relationship between you and us, and neither of us may bind the other.
  • Headings are for convenience and do not affect interpretation. "Including" means "including without limitation".

All visualizations, demos and results are simulated and labeled SYNTHETIC. Any past performance referenced is illustrative and does not guarantee future results.
